By accessing or using the FlowState platform and services (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Eligibility and Account Registration

• Eligibility: You must be at least 18 years old and capable of entering into a binding agreement to use the Service.

• Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

The Service is a financial platform offering features including, but not limited to, global accounts (IBANs), instant transfers, virtual and physical cards, and financial data management.

• Financial Nature: You acknowledge that the Service involves sensitive financial transactions and information. You agree to use the Service in compliance with all applicable local, state, national, and international laws, including financial regulations, anti-money laundering (AML) laws, and know-your-customer (KYC) requirements.

• Restrictions: You may not use the Service for any illegal or unauthorized purpose, including fraud, harassment, or distribution of harmful software.

4. Fees and Payment

• Subscription: The Service is offered on a subscription basis (Monthly, Annually) with different plans (Starter, Pro, Enterprise). You agree to pay all applicable fees and charges as described on the Service's pricing page.

• Our Rights: The Service and its original content, features, and functionality are and will remain the exclusive property of FlowState Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States, Japan, and foreign countries.

• User Data: You retain all ownership rights to the financial data and content you submit to the Service ("User Data"). You grant us a worldwide, royalty-free license to use, host, store, and process your User Data solely for the purpose of providing and improving the Service.

6. Termination

• By User: You may terminate your account at any time by following the account closure procedures within the Service. You are responsible for any fees incurred up to the effective date of termination.

• By FlowState: We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms, including but not limited to failure to pay fees or involvement in illegal activities.

• Effect of Termination: Upon termination, your right to use the Service will immediately cease. Sections 5, 7, 8, and 9 shall survive termination.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLOWSTATE INC., NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY.

9. Governing Law and Dispute Resolution
